Welcome to StatementKey. These Terms of Service ("Terms") govern your access to and use of the StatementKey website, software, and services (collectively, the "Service"). By registering for an account, accessing, or using the Service, you explicitly agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

StatementKey provides automated document processing software that utilizes proprietary algorithms and automated machine learning infrastructure to extract tabular data from user-uploaded financial documents and convert that data into exportable spreadsheet formats.

2. Account Registration & Security

To use the Service, you must register for an account using a valid email address. You agree to provide accurate, current, and complete information during the registration process.

• Account Security: You are solely responsible for safeguarding the password and credentials you use to access the Service. You agree not to disclose your password to any third party.
• Account Activity: You are strictly responsible for any activities or actions taken under your account, whether or not you have authorized such activities.
• Verification: We employ email verification to ensure account authenticity. Unverified accounts or accounts suspected of being created by automated bots may be suspended or terminated without notice.

3. User Obligations and Acceptable Use

You agree to use the Service only for lawful purposes. You represent and warrant that you possess all necessary rights, permissions, and legal authority to upload and process any documents submitted to the Service.

You strictly agree NOT to:

• Upload documents containing illicit, illegal, or highly regulated sensitive material outside the scope of standard financial statements.
• Upload documents belonging to third parties without their explicit legal consent.
• Attempt to reverse-engineer, decompile, disassemble, or derive the source code, underlying algorithms, or machine learning infrastructure of the Service.
• Use automated scripts, scrapers, web crawlers, or bots to access the Service or bypass our credit limitation and billing systems.
• Use the Service in any manner that could disable, overburden, damage, or impair our servers or networks.

4. Accuracy of Data and Liability Disclaimer

StatementKey utilizes complex, automated data extraction technologies. While we continuously improve our systems to provide high accuracy, optical character recognition (OCR) and automated data parsing are inherently subject to errors. Variables such as document scan quality, irregular layouts, and non-standard formatting can result in missing, swapped, or incorrectly transcribed data.

You acknowledge and agree that StatementKey is not a substitute for professional financial, accounting, or legal advice. You are solely responsible for manually reviewing, verifying, and auditing all exported data for accuracy before relying on it for tax preparation, financial reporting, legal proceedings, or any other business purpose. StatementKey accepts zero liability for financial losses, tax penalties, or legal disputes resulting from inaccurate data generated by our Service.

5. Intellectual Property Rights

Your Content: We claim no intellectual property rights over the documents you upload. You retain all ownership rights to your data.

Our Property: StatementKey, its original code, features, functionality, and proprietary parsing logic are and will remain the exclusive property of StatementKey and its licensors. The Service is protected by copyright, trademark, and other laws.

6. Credit Usage and Deduction Policy

StatementKey operates on a credit-based system to process document conversions. By using our Service, you agree to the following rules regarding credit consumption:

• Automated Deduction: We deduct credits upfront when you initiate a document conversion.
• System Errors: If our system experiences a critical internal failure, database error, or crashes after your credits are deducted but before your file is processed, your credits will be automatically restored to your account.
• Invalid or Corrupt Files: If you attempt to upload a PDF that is corrupt, password-protected, or fundamentally unreadable by our system, the process will fail immediately, and no credits will be deducted.
• "No Data Found" (Spam/Junk Protection): If you upload a valid, readable PDF that is not a bank statement (e.g., a novel, a blank page, or a random image), our AI will successfully process the page but return zero financial transactions. In this event, credits are consumed and not restored. The processing power and API costs were fully utilized to scan the document provided.
• Non-Transferable Credits: Credits and subscriptions are tied exclusively to the account that made the original purchase and are strictly non-transferable between accounts. While you may use our processing services for your own clients or business purposes, the underlying account credits or subscription balances cannot be moved, shared, gifted, or sold to another StatementKey account.

7. Subscription Overrides and Plan Changes

Purchasing a new subscription tier while you currently have an active or pending-cancellation subscription will instantly override your existing plan. Your new billing cycle will begin on the date of the new purchase, and your previous plan will be terminated immediately. While unused conversion credits from your current billing month may roll over to your new plan up to a specified limit, no prorated financial refunds will be issued for unused time forfeited during a mid-cycle subscription override.

8. Disclaimer of Warranties

The Service is Provided "As Is" and "As Available."

To the maximum extent permitted by applicable law, StatementKey disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9. Limitation of Liability

In no event shall StatementKey, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content. In no event shall our total liability to you exceed the amount you paid to StatementKey in the past six (6) months.

10. Indemnification

You agree to defend, indemnify, and hold harmless StatementKey and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms, including but not limited to the uploading of documents you do not have the legal right to process.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Republic of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms of Service on this page and updating the "Last Updated" date at the top. By continuing to access or use our Service after those changes become effective, you agree to be bound by the revised terms.
